1. Introduction

Welcome to the N'Vidia Maxima Contract Generator ("Platform"). These Terms of Service ("Terms") govern your access to and use of the Platform operated by N'Vidia Maxima, LLC ("Company," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

2. Acceptance of Terms

By creating an account, accessing the Platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and N'Vidia Maxima, LLC.

We reserve the right to modify these Terms at any time. Your continued use of the Platform after any changes indicates your acceptance of the new Terms.

3. Services Provided

The Platform provides contract generation and management services for AI music generation, web design, digital services, and related business operations. Our services include:

• Automated contract generation for service agreements
• Affiliate program management and referral tracking
• Payment processing and payout management
• Marketing template generation and customization
• Tax form collection and management (W-9, 1099)
• Contract history and document storage

4. User Accounts

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. Payment Terms

Service Fees: Fees for services are as described on the Platform at the time of purchase. All fees are in U.S. Dollars and are non-refundable except as required by law.

Affiliate Payments: Affiliates earn commissions based on successful referrals as outlined in the Affiliate Agreement. Payments are processed according to the payment schedule specified in your affiliate dashboard.

Tax Compliance: Users earning $600 or more annually must provide valid tax information (W-9) for IRS reporting purposes. Failure to provide required tax documentation may result in payment delays or account suspension.

6. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of N'Vidia Maxima, LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

The N'Vidia Maxima and N'Vidia Studios names and logos are trademarks of N'Vidia Maxima, LLC. You may not use these trademarks without our prior written permission.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose or in violation of any laws
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any part of the Platform
• Upload or transmit viruses or malicious code
• Collect or harvest information about other users
• Use automated systems to access the Platform without permission
• Engage in fraudulent referral activities or payment manipulation

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, N'VIDIA MAXIMA, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted, secure, or error-free.

10. Indemnification

You agree to indemnify, defend, and hold harmless N'Vidia Maxima, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform with a new "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.
